Software licence agreement (SaaS)

This software licence agreement (the “Agreement”) is entered into between Maia Labs and its affiliates (collectively “Maia Labs”, “we”, “our company”) and the natural or legal person subscribing to the software and/or services under this Agreement (“you” or “the Client”, and together with Maia Labs, the “Parties”), and governs the Client's access to and use of the software and/or services.

1. Preamble

Maia Labs is a tool that assists in the drafting of medico-legal reports, in particular disability insurance (IV/AI) reports, intended for healthcare professionals in Switzerland. The Service uses artificial intelligence to help structure and draft reports that comply with Swiss legal requirements (Foerster criteria, structured assessment indicators, case law of the Federal Supreme Court).

Maia Labs is an infrastructure and service platform only. Maia Labs does not replace professional medical judgement and does not produce medical reports autonomously. The AI models used are developed by third parties and run on infrastructure hosted in Switzerland.

2. Acceptance of the terms

By subscribing to Maia Labs services, the Client accepts these terms of use (the “Terms”) in their entirety.

The Client confirms that they are authorised to represent their organisation and to accept these Terms on its behalf.

The Terms may be updated, and renewals will be subject to the version in force at the time of renewal.

This Agreement may be made available via Stripe or another online payment platform, and acceptance of the Terms may take place by a confirmation click at the time of subscription.

3. Description of the Service

Maia Labs provides the following:

  • A secure web application allowing the upload of medical records and the assisted generation of medico-legal reports.
  • An AI system capable of analysing patient records and producing structured draft reports that comply with cantonal forms.
  • Infrastructure management including secure hosting, data encryption and service maintenance.
  • Access to language models run on infrastructure hosted in Switzerland for content processing and generation.

4. Access to the software and restrictions

Maia Labs grants a limited, non-transferable and non-exclusive right to access and use the Service via the web interface. Nothing in this Agreement transfers any intellectual property rights.

It is prohibited to:

  • Use the Service for unlawful, fraudulent or harmful purposes.
  • Use the Service to generate medical reports that are fraudulent, misleading or contrary to medical ethics.
  • Resell, redistribute or commercially exploit the Service without written consent.
  • Use automated tools to extract, copy or monitor the content of the Service.
  • Attempt to gain unauthorised access to other users' data or to the infrastructure.
  • Circumvent rate limits, usage caps or other technical restrictions.
  • Use the Service to generate content that violates applicable laws or the rights of third parties.

Access to the Service is subject to applicable laws, and Maia Labs reserves the right to suspend or terminate accounts in the event of a breach, without notice or refund.

5. AI disclaimer

THIS SECTION IS ESSENTIAL. THE CLIENT MUST READ AND UNDERSTAND IT BEFORE USING THE SERVICE.

5.1 Nature of the AI assistant

The Maia Labs assistant is powered by large language models (LLMs) run on infrastructure hosted in Switzerland. It is capable of generating text, analysing documents and producing structured reports. These actions are performed on the basis of the Client's instructions and of the AI model's interpretation.

5.2 No control over AI output

Maia Labs does not control, monitor, verify or approve the output, actions or decisions of the AI. Maia Labs does not and cannot guarantee the accuracy, completeness, reliability, safety, lawfulness or relevance of any AI-generated content.

5.3 Sole responsibility of the Client

The Client acknowledges and accepts that:

  • The Client is solely and fully responsible for all reports generated by the Service, including their content, accuracy and compliance with legal requirements.
  • The Client is responsible for verifying, validating and signing any report before it is submitted to the authorities.
  • The Client assumes all risks associated with the use of AI-generated content, including errors, inaccuracies or non-compliance.
  • The Client must not rely on the Service for critical decisions without independent verification, in particular for medical, legal or administrative decisions.

5.4 No warranty as to AI behaviour

Maia Labs makes no representation or warranty, express or implied, regarding:

  • The accuracy, correctness or reliability of AI-generated content.
  • The compliance of the AI with specific standards, regulations or practices.
  • The absence of errors, bias, hallucinations or inappropriate output in the generated content.
  • The suitability of the AI output for a particular purpose.

5.5 Language models

The AI assistant relies on language models developed by third parties and run on infrastructure hosted in Switzerland. The Client's data is not transmitted to any model provider and is not used to train these models. Maia Labs has no control over the training data, bias, capabilities or inherent limitations of these models and disclaims all liability for their behaviour or output.

5.6 Indemnification

The Client agrees to indemnify, defend and hold harmless Maia Labs, its officers, directors, employees and agents from and against all claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising from or relating to:

  • Any report or content generated by the Client via the Service.
  • The Client's use of AI-generated output.
  • Any infringement of third-party rights resulting from the use of the Service.
  • The Client's breach of these Terms or of applicable laws.

6. Data protection and privacy

Maia Labs complies with the Swiss Federal Act on Data Protection (FADP/revised FADP) and, where applicable, the GDPR.

A separate data processing agreement (DPA) is provided on request.

Patient records are processed in memory for the duration of the report generation, then deleted. Only the form templates uploaded by the Client and the Client's account settings are retained, in encrypted form, on infrastructure hosted in Switzerland. Maia Labs does not access, view or use this data except for technical maintenance purposes.

The language models run on this same infrastructure: no Client data is transmitted to the providers of these models or used to train them.

Clients will be informed in the event of a security breach, and corrective measures will be implemented immediately.

Clients may request access to, correction, deletion or portability of their personal data at any time.

For further details, see our Privacy Policy.
